Affiliate & Referral Program Terms of Service

Welcome to the Wabery Affiliate and Referral Programs. These Terms of Service ("Terms") govern your participation in our programs. By joining either program, you agree to be bound by these terms.

1. Program Overview

Wabery offers two referral-based programs:

1.1 Referral Program (In-App)

Available to existing Wabery customers who want to refer friends and colleagues. Referrers earn commissions when their referrals become paying customers.

1.2 Affiliate Program (External)

Available to content creators, marketers, and partners who want to promote Wabery to their audience. Affiliates must apply and be approved to participate.

2. Definitions

  • "Referrer" refers to an existing Wabery customer participating in the Referral Program.
  • "Affiliate" refers to an approved external participant in the Affiliate Program.
  • "Participant" refers to either a Referrer or an Affiliate.
  • "Referral Link" refers to the unique tracking URL provided to you to promote Wabery.
  • "Qualified Referral" refers to a new customer who signs up through your Referral Link and completes a paid subscription.
  • "Commission" refers to the payment you receive for Qualified Referrals.
  • "Net Revenue" refers to the subscription payment amount after refunds, chargebacks, and discounts.

3. Eligibility

3.1 Referral Program Eligibility

To participate in the Referral Program, you must:

  • Be an active Wabery customer with a paid subscription
  • Be at least 18 years old
  • Not refer yourself, your own organization, or accounts you control

3.2 Affiliate Program Eligibility

To participate in the Affiliate Program, you must:

  • Be at least 18 years old and legally able to enter contracts
  • Apply and be approved for the program
  • Provide accurate and complete registration information
  • Not be located in a jurisdiction where participation is prohibited

We reserve the right to approve or reject any affiliate application at our sole discretion.

4. Commission Structure

4.1 Referral Program Commission

Referrers earn 30% commission on the Net Revenue from each Qualified Referral for the first3 months of recurring payments.

4.2 Affiliate Program Commission

Affiliates earn 30% commission on the Net Revenue from each Qualified Referral for the first6 months of recurring payments.

4.3 Qualification Requirements

A referral is considered "qualified" only when:

  • The customer signs up using your unique Referral Link
  • The customer is new to Wabery (not an existing or previous customer)
  • The customer completes their first paid subscription payment (free plan period does not count)
  • The payment is not refunded or charged back within 30 days

4.4 Attribution Window

Tracking cookies are valid for 60 days from the initial click. If a customer signs up within 60 days of clicking your Referral Link, the referral will be attributed to you.

4.5 Recurring Subscriptions

For customers on recurring paid subscriptions, commissions are calculated as 30% of each qualifying payment during the applicable commission period (3 months for Referrers, 6 months for Affiliates).

5. Payment Terms

5.1 Payment Hold Period

Commissions are held for 30 days after each payment to account for potential refunds or chargebacks. This ensures commissions are only paid on valid, retained customers.

5.2 Minimum Payout

The minimum payout threshold is $50 USD. Commissions below this amount will accumulate until the threshold is reached.

5.3 Payment Schedule

Commissions are paid out monthly, typically within the first 15 days of each month for commissions that have cleared the 30-day hold period in the previous month.

5.4 Payment Method

Payments are processed through our referral platform. You must provide valid payment information to receive commissions.

5.5 Taxes

You are responsible for all taxes on your earnings. We may require tax documentation (such as W-9 for US participants or W-8BEN for international participants) before processing payments.

6. Commission Reversal and Clawback

Commissions may be reversed or clawed back in the following situations:

  • The referred customer requests and receives a refund
  • The referred customer initiates a chargeback
  • The referral is determined to be fraudulent or in violation of these terms
  • The referral is a self-referral or from an existing customer

If a clawback results in a negative balance, that amount will be deducted from future earnings.

7. Promotional Guidelines

7.1 Permitted Promotion Methods

  • Personal recommendations to friends and colleagues
  • Personal websites, blogs, and content platforms
  • Social media accounts you own
  • Email newsletters (to your own subscribers only)
  • YouTube, podcasts, and other content channels

7.2 Required Disclosures (Affiliates Only)

Affiliates must clearly disclose their affiliate relationship when promoting Wabery. This is required by the FTC and similar regulations worldwide. Example disclosures include:

  • "This post contains affiliate links"
  • "I earn a commission if you sign up"
  • "#affiliate" or "#ad" on social media

8. Prohibited Activities

The following activities are strictly prohibited and will result in immediate termination and forfeiture of commissions:

  • Self-referrals: Referring yourself, your own company, or accounts you control
  • Spam: Sending unsolicited emails, messages, or bulk communications
  • False claims: Making misleading statements about Wabery's features, pricing, or guarantees
  • Trademark bidding: Bidding on "Wabery" or variations in paid search ads
  • Cookie stuffing: Placing affiliate cookies without user knowledge or consent
  • Incentivized clicks: Paying users to click your links or sign up
  • Impersonation: Pretending to be a Wabery employee or official representative
  • Coupon abuse: Creating fake coupons or discount codes
  • Domain squatting: Registering domains containing "Wabery" or similar variations

9. Intellectual Property

We grant you a limited, non-exclusive license to use Wabery trademarks and marketing materials solely for promoting the program. You must:

  • Use only approved logos and materials we provide
  • Not modify our trademarks or create derivative works
  • Not use our brand in a way that implies endorsement or partnership beyond the referral relationship

10. Independent Contractor Relationship

You are an independent contractor, not an employee, agent, or partner of Wabery. You have no authority to bind Wabery to any contracts or obligations. Nothing in these terms creates an employment, partnership, or joint venture relationship.

11. Termination

11.1 Termination by You

You may terminate your participation at any time by contacting us. Earned commissions that have passed the hold period will be paid out according to the normal schedule.

11.2 Termination by Us

We may terminate your participation immediately for any violation of these terms. We may also terminate the program or your participation for any reason with 30 days notice.

11.3 Effect of Termination

Upon termination for cause (violation of terms), all pending commissions are forfeited. Upon termination without cause, earned commissions will be paid according to normal terms.

12. Disclaimer of Warranties

THE PROGRAMS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE ANY LEVEL OF EARNINGS OR CONVERSIONS. YOUR SUCCESS DEPENDS ON YOUR OWN EFFORTS AND MARKETING STRATEGIES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WABERY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE PROGRAMS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS EARNED BY YOU IN THE TWELVE (12) MONTHS PRECEDING ANY CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Wabery from any claims, damages, or expenses arising from:

  • Your promotional activities
  • Your violation of these terms
  • Your violation of any laws or regulations
  • Content you create to promote Wabery

15. Changes to Terms

We reserve the right to modify these terms, including commission rates, at any time. We will provide 30 days notice for material changes. Your continued participation after changes take effect constitutes acceptance of the new terms.

16. Governing Law

These terms shall be governed by applicable laws. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.
